By-Law of Northern New Jersey Huaxia Chinese School

I.   Name:  “Northern New Jersey Huaxia Chinese School,” being the official name of the school, (thereafter referred as “the School”) is a non-profit organization registered in the State of New Jersey in the United States.

 II.  Mission: Being non-profit, non-religious, and non-political, the School’s mission is to teach Chinese language, promote the Chinese culture and serve the community.

 III. School Organization: With the establishment of a Board of Trustees, the School has its own Committee of Administrative Affairs and a Parents’ Council.

 IV. Membership:

1.     The School admission is extended to anyone, regardless of age, gender, race, color, creed, religion, nationality or heritage. Members of the school consist of all students, parents or guardians of registered students, teachers and administrative staffs.

2.     Only members of eighteen years old or older are entitled to vote or to be elected.

3.     Both teachers and students should abide by the rules and regulations issued by the School.

 V.  Board of Trustees:

1.     Being the highest governing body of the School, the Board of Trustees is responsible for

*    Guiding the School’s development direction and plans;

*     Appointing or dismissing the Principal or the President of the Parents’ Council;

*     Examining and approving the major events and activities, including the annual report, budget and final expenditures of the school, the use of the School name, as well as rules and regulations for school operation.

2.     The Board is composed of five to seven Trustees. The Trustee candidates may be School members.  Persons who are not member of the school but interested and devoted to learning or teaching Chinese or to the goals of the School may also be candidates for Trustee positions. The Trustees are elected by the School members and each will hold a three-year term. Every year, two or three Trustees will be re-elected. The Chairman of the Board, elected by its members, is in charge of calling a Board meeting, initiating the meeting agenda, and managing the Board activities and responsibilities. The Chairman of the Board also has the power to decide any tying vote of the Board.

3.     The Board shall hold its regular meeting twice a year. Subjects to be discussed at the meeting should be made known to the members of the Board two weeks in advance. A special session of the Board may be held on the motion of one third of the Board members. Motions made by one third of the Board members must be recorded for discussion at the latest Board meeting.  Any decision made by the Board shall be announced in the School’s periodic publication.

4.     Board members may resign at any time. A new Trustee shall be elected by the School members to fulfill the remaining term.

 VI. Organization and Functions of the School Administration:

1.     Under the guidance of the Board, the Principal is in charge of the overall operations of the School. The Principal is appointed or dismissed by the Board. The term of his or her appointment is one year, and may be extended to a consecutive term if the Board approves. Reporting to the Board, the Principal is responsible for, internally, overseeing the overall operation of the School, and externally, promoting communication and cultural exchange with other schools as well as local communities.

2.     The School Administrative Committee consists of a principal, one or two assistant principals, an accountant and other staffs. The School Administrative Committee is responsible for conducting School routine operations, proposing any School policies and regulations as needed.

3.     Reporting to the Board and the Principal, the School Accountant is responsible organizing and supervising the financial operation of the School, including budget, final expenditures, revenues and expenses, as well as the processes of donations and the School taxation.

4.     The Principal will appoint the members of the Administrative Committee and all teachers.

5.     The compensation of the teachers and the Administrative Committee is proposed by the Principal and executed after being approved by the Board.

 VII.  Parent’s Assembly and Parent’s Council:

1.     The Parent’s Assembly is composed of all members eighteen years old or older. Among its major functions are electing the Board of Trustees, examining the operation and the financial report of the School Administrative Committee. The Assembly should convene at least once a semester, and a special session may be held at the proposal of one tenth of its voting members.

2.     The Parent’s Council, established under the Assembly, is composed of a president, a vice president and ten to fifteen council members. The Parent’s Council is in charge of calling Assembly meetings, formulating guidelines for parents’ activities, communicating with parents and school staffs, maintaining order on school premises, organizing social activities for the parents and assisting the routine operation of the school.

3.     The President of the Council is appointed or dismissed by the Board. The term of office for the president is one year, and may be extended to a consecutive term if the Board approves. Other members of the Council are nominees proposed by the President or self nominated volunteers, and approved by the Board.

VIII. Finance:

1.     The School’s revenue comes from tuition fees and donations.  Tuition fees should be set at an appropriate level to cover the routine expenditures and to guarantee the quality of the School educational curriculums.

2.     The Principal is responsible for proposing budget report to the Board to be evaluated and to be executed by the Accountant.

3.     The Principal is responsible, at the end of each semester, for submitting a financial summary report to the Board to be examined and approved.

4.     Financial management of the School should comply with the School policies.  The financial operation and status of the school should be made known to every member of the School on regular basis.

IX. Interpretation and Amendment of the By-Law:

1.     The Board is the sole body of the School to interpret the by-law.

2.     The amendment of the by-law should be presented to the Board for discussion at the joint proposal made by at least one third of the Board members, and be approved by two third of the Board members before it comes into effect.

3.     In case of a conflict between these by-laws and either the Federal or State laws of the United States, the Federal or State laws of the United States shall control.
